Strategy – Overview

Strategic Reorganization

Perlitz has many years of practical experience and extensive references with regards to all questions of strategic management, restructuring, turnaround and insolvency.
Within M&A projects we support both growth (buy side) and consolidation (sell side).

Reorganization/Turnaround/ Insolvency – Overview:

• Reorganization:
In a strategic crisis, we support companies in identifying their available room for maneuvering and in leveraging it into short- and medium-term improvements. This includes e.g. the supply chain strategy (strategic purchasing) and restructuring the sales force.
• Turnaround:
We stabilize companies in acute crisis by creating transparency (bottom line-oriented controlling, product calculation, consumption deviations, etc.) and by lifting short-term profit potentials (cost-down, purchasing, capacity adjustment, rebate policy, etc.). Upon customer request, we assume operative responsibility for the turnaround, serving as the CRO (Chief Restructuring Officer).
• Insolvency:
Perlitz supports insolvency administrators in the automotive industry as industry experts and in the operational insolvency process (controlling, calculation, negotiation of insolvency prices, operational restructuring, preparation of the sales process). We bring in >20 years of industry experience, practical experience from >10 insolvent plants, experience with risk managers of all relevant OEMs and suppliers, as well as experience with the usual project partners (auditors, M&A consultants, banks, etc.). Upon request, we also assume operational responsibility, serving as interim manager.

M&A - Overview:

• Bases on >20 years of industry experience, we have been supporting companies in the automotive industry for many years in the acquisition and sale of companies. Our references include >30 successful transactions, 8 of them in the last 2 years.
• In the case of company acquisitions, our service portfolio includes the commercial due diligence (business model review and business plan), the financial valuation of the company to be acquired as well as serving as a lead negotiator during contract negotiations. On request, we also coordinate the accompanying tax / financial and legal due diligences with a well-established team of partners (tax/audit, legal) or the consultants of your choice.
• In the case of sell side M&A projects (selling a company), we prepare the documents for the initiation and execution of the transaction (information memorandum / financial factbook / vendor due diligence) for our customers. We then identify possible buyers and accompany our customers through the entire transaction.
